SevenBear Media Terms and Conditions of Business.

Please take some time to read through SevenBear Media’s terms and conditions.

Beth Ryan (SevenBear Media) reserves the right to change any rates and/or Terms and Conditions at any time and without prior notice. Any products, designs or edits made by Beth Ryan (SevenBear Media) are carried out on the understanding that the customer agrees to abide by the terms and conditions below. Enquiry and proposal
First, Beth Ryan (SevenBear Media) will discusses the project in detail with the customer and a project proposal will be written and reviewed. A written estimate or quotation will be provided by Beth Ryan (SevenBear Media) which may then be accepted via email by the customer – in turn, binding the customer to accept Beth Ryan (SevenBear Media)’s terms and conditions.

Any proposals, costings or estimations are valid for 30 days from the date detailed on the document. Beth Ryan (SevenBear Media) reserves the right to deem any proposals, estimations and quotations invalid after 30 days, after which a new price and document will be provided.

Timescales and milestones
If there are any important dates, deadlines or relevant milestones relating to a project, they should be expressed to Beth Ryan (SevenBear Media) during the project proposal stage. Any indication given by Beth Ryan (SevenBear Media) of a design project’s duration is to be considered by the customer to be an estimation. Beth Ryan (SevenBear Media) cannot be held responsible for any project over-runs, whatever the cause, if deadlines were not indicated in the original project proposal stage. If Beth Ryan (SevenBear Media) can not make a specific deadline or milestone, this will be established during the project proposal stage.

Usual working hours
Monday to Friday, 10am – 5:00pm.
Beth Ryan (SevenBear Media) will not be open or operating on the below dates.

Payment
Payments are to be made via online transfer. Payments should be made within 7 days of invoicing. If the customer has any discrepancies with payment or has any queries with Beth Ryan (SevenBear Media)’s invoice, this will need to be expressed in writing to Beth Ryan (SevenBear Media) within 5 working days of receiving the invoice.

Copyright
By supplying text, images and other data to Beth Ryan (SevenBear Media) for inclusion in the proposed design, the customer declares that it holds the appropriate copyright and/or trademark permissions. The ownership of such materials will remain with the customer, or rightful copyright or trademark owner.

You, the customer, agree to allow Beth Ryan (SevenBear Media) to publicly share any design work or products on social medias and/or website portfolios, unless otherwise stated during the project proposal stage.

Should any media be supplied to Beth Ryan (SevenBear Media), believed it to be copyright and royalty free, which subsequently emerges to have such copyright or royalty usage limitations, the customer will agree to allow Beth Ryan (SevenBear Media) to remove and/or replace the file without any penalty. 

You, the customer, agree to fully compensate Beth Ryan (SevenBear Media) in any and all claims resulting from the customer not having obtained all the required copyright, and/or any other necessary permissions, and you will hold Beth Ryan (SevenBear Media) free from harm.

Any artwork, concepts, designs, stock media and proofs designed/purchased by Beth Ryan (SevenBear Media) on behalf of the customer, will be retained as property of Beth Ryan (SevenBear Media) and/or its suppliers until all outstanding invoices have been settled, in which full copyright will be transferred from Beth Ryan (SevenBear Media). The artwork cannot be used by the customer as part of their portfolio to advertise marketing/design/advertising services unless consent is given in writing from Beth Ryan (SevenBear Media) to the customer.

Alterations and additional services
Beth Ryan (SevenBear Media) will provide draft designs to the customer for review and feedback or acceptance. To ensure the project doesn’t lose momentum, Beth Ryan (SevenBear Media) requires written feedback within 3 working days, if you are unable to abide by this please advise Beth Ryan, so expectations and schedules can be managed. Beth Ryan (SevenBear Media) allows a few small minor amends to draft designs, however, please be aware that if changes are required to be carried out over and above the initial brief that was accepted, the customer will be liable to a separate charge.

The customer also agrees that Beth Ryan (SevenBear Media) holds no responsibility for any amendments made by any third party, before or after a design is published.

Licensing
Any design, copywriting, drawing, idea or code created for the customer by Beth Ryan (SevenBear Media) , or any of its contractors, is licensed for use by the customer on a one-time only basis and may not be modified, re-used, or re-distributed in any way or form without the express written consent of Beth Ryan (SevenBear Media) and any of its relevant sub-contractors. All design work where there is a risk that another party may make a claim, should be registered by the customer with the appropriate authorities prior to publishing or first use or searches and legal advice sought as to its use. Beth Ryan (SevenBear Media) will not be held responsible for any and all damages resulting from such claims. Beth Ryan (SevenBear Media) is not responsible for any loss, or consequential loss, non-delivery of products or services, of whatever cause. The customer agrees not to hold Beth Ryan (SevenBear Media) responsible for any such loss or damage. Any claim against Beth Ryan (SevenBear Media) shall be limited to the relevant fee(s) paid by the customer.

Data Formats
The customer agrees to Beth Ryan (SevenBear Media)’s definition of acceptable means of supplying data format:

Text is to be supplied to Beth Ryan (SevenBear Media) in electronic format as standard text (.txt), Pages, Word Document provided via USB or e-mail.

Images which are supplied in an electronic format, are to be provided in a format as prescribed by Beth Ryan (SevenBear Media) via email or cloud sharing service. Beth Ryan (SevenBear Media) requests any images must be of a quality suitable for use without any subsequent image processing, and Beth Ryan (SevenBear Media) will not be held responsible for any image quality which the customer later deems to be unacceptable. Beth Ryan (SevenBear Media) cannot be held responsible for the quality of any images which the customer wishes to be scanned from printed materials.

Additional expenses may be incurred for any necessary action, including, but not limited to, photography and art direction, photography searches, media conversion, digital image processing, or data entry services.

Design Credits
The customer agrees to allow Beth Ryan (SevenBear Media) to place a small credit on printed material, exhibition displays, advertisements and/or a link to Beth Ryan (SevenBear Media)’s own website on the customer’s website. This will usually be in the form of a small logo or line of text placed towards the bottom of the page.

The customer also agrees to allow Beth Ryan (SevenBear Media) to place all designs on Beth Ryan (SevenBear Media) ’s own website, social media and portfolio and demonstration purposes and to use any designs in its own publicity unless agreed otherwise. The portfolio may be viewed [here].

Rights of Refusal
Beth Ryan (SevenBear Media) will not include in its designs, any text, images or other data which it deems to be immoral, offensive, obscene or illegal. All advertising material must conform to all standards laid down by all relevant advertising standards authorities. Beth Ryan (SevenBear Media) also reserves the right to refuse to include submitted material without giving a reason.

Any images and/or data that Beth Ryan (SevenBear Media) does include in all good faith, and then finds out that it contravenes these Terms and Conditions, the customer is obliged to allow Beth Ryan (SevenBear Media) to remove the contravention without hindrance, or penalty. Beth Ryan (SevenBear Media) is to be held in no way responsible for any such data being included.

Cancellation policy
Please be mindful that Beth Ryan (SevenBear Media) is a small business and cancelling a project can have repercussions. However, it is understood things don’t always go as planned and cancelling, or putting a project ‘on hold’ should be advised in writing via e-mail to Beth Ryan.

If the customer changes their mind or cancels during a project, they will be invoiced for all work completed to that date.

Beth Ryan (SevenBear Media) asks that cancellations be formally confirmed in writing and received within 14 days of a quote being issued or the customer will be liable to pay the full quoted amount to account for the work Beth Ryan (SevenBear Media) has undertaken in the proposal process and for turning other customers away.

Disclaimer
Beth Ryan (SevenBear Media) makes no warranties of any kind, express or implied, for any and all products and/or services that it supplies. Beth Ryan (SevenBear Media) will not be held responsible for any and all damages resulting from products and/or services it supplies.

Beth Ryan (SevenBear Media) is not responsible for any loss, or consequential loss of data, or non-delivery of products or services, of whatever cause. While I take reasonable steps to investigate the materials we recommend, we accept no responsibility for the performance or quality of materials or any consequential loss arising from their failure.

The customer agrees not to hold Beth Ryan (SevenBear Media) responsible for any such loss or damage. Any claim against Beth Ryan (SevenBear Media) shall be limited to the relevant fee(s) paid by the customer.

Beth Ryan (SevenBear Media) reserves the right to use the services of sub-contractors, agents and suppliers and any work, content, services and usage is bound by their Terms and Conditions. Beth Ryan (SevenBear Media) will not knowingly perform any actions to contravene these and the customer also agrees to be so bound.
